Terms of Service - Breathing Records Artist Hub

These Terms of Service ("Terms") govern your access to and use of Breathing Records Artist Hub (the "Hub"), a content management tool operated by Breathing Records ("we," "us," "our"). These Terms apply specifically to the Hub. They are separate from any terms governing breathingrecords.com generally or our online shop.
By accessing or using the Hub, you agree to these Terms.
1. About the Hub
The Hub is a tool that lets signed artists, affiliated creators, and their authorized representatives schedule and publish short-form video content to their own TikTok accounts. The Hub integrates with TikTok using the TikTok Login Kit and Content Posting API.
2. Eligibility
Access to the Hub is by invitation. To use the Hub, you must:
- Be at least 18 years old
- Be a signed artist on Breathing Records, an active creator in the event or JON ECHOES networks, or an authorized representative of one of the above
- Have a valid TikTok account in good standing
- Comply with TikTok's own Terms of Service and Community Guidelines
3. Account and access
The Hub is organized around brands (such as artist projects, labels, or DJ identities). Each user is granted membership to one or more brands. Members of a brand can manage that brand's content and connected social accounts, including its connected TikTok account if any.
When you connect a TikTok account to a brand, you represent that you are an authorized representative of that brand and have permission to manage its TikTok presence. You are responsible for maintaining the confidentiality of your Hub credentials and for all activity under your account, including any content posted to TikTok accounts you connect or that brands you are a member of have connected.
4. Acceptable use
You agree not to:
- Use the Hub to publish content to any TikTok account you do not own or are not explicitly authorized to manage
- Post spam, misleading content, or content that violates TikTok's Community Guidelines
- Reverse engineer, scrape, or attempt to extract source code from the Hub
- Use the Hub to interfere with TikTok's services or violate TikTok's Developer Terms of Service
- Upload content you do not own the rights to, including unlicensed music or third-party material
5. Content ownership
You retain all rights to the content you upload through the Hub. By using the Hub to publish to TikTok, you grant us a limited license to transmit your content to TikTok solely to fulfill the publishing actions you initiate. We claim no ownership of your content.
6. TikTok's terms apply
Your use of TikTok through the Hub is also subject to TikTok's own Terms of Service, Community Guidelines, Music Usage Confirmation, and Branded Content Policy. Where TikTok's terms conflict with these Terms regarding your use of TikTok, TikTok's terms control as to that use.
7. Suspension and termination
We may suspend or terminate your access to the Hub at any time if you violate these Terms, if your TikTok account is terminated, or if continuing to provide the Hub to you would violate our agreements with TikTok. You may stop using the Hub at any time by disconnecting your TikTok account and emailing info@breathingrecords.com to close your Hub account.
8. Disclaimers
The Hub is provided "as is" and "as available." We do not warrant that the Hub will be uninterrupted, error-free, or that scheduled posts will always publish successfully. TikTok may change its APIs or policies in ways that affect the Hub.
9. Limitation of liability
To the fullest extent permitted by law, Breathing Records and its affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Hub. Our total liability for any claim relating to the Hub will not exceed one hundred US dollars (USD 100).
10. Indemnification
You agree to indemnify and hold Breathing Records harmless from any claim arising from your content, your use of the Hub, or your violation of these Terms.
11. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute will be resolved in the state or federal courts located in San Diego County, California.
12. Changes
We may update these Terms. Material changes will be communicated to active Hub users, and the "Last updated" date above will be revised. Continued use of the Hub after changes take effect constitutes acceptance.
